Password and Security Procedures

Upon becoming a Rochelle Bank client, you will receive a temporary password or self-select a password, which will allow you access to your Account information. Use of the password will indicate to the Bank your acceptance of the terms and conditions governing your Account(s) and this Agreement and if applicable, the Bill Pay Service terms and conditions. Any Service transactions, including, but not limited to accessing Account information, making transfers, giving transfer-related instructions or utilizing the electronic bill payment service, initiated by the Client or person(s) on behalf of a commercial Client by entering the correct password is deemed as acting with full authority of the Board of Directors, members or general partners, as applicable, of the commercial Client. Each time you access Account information, make transfers or give transfer-related instructions, you will be required to enter your password.

In addition to obtaining a password, when you become a Rochelle Bank client, you will select a number of security challenge questions to which you will supply appropriate answers. At all times, the Bank reserves the right to present one or more of these challenge questions whenever the Service is accessed using your user name and password. If the answers to the challenge questions do not match previously provided answers, access to the Service will be denied.

If your password is lost or stolen or is known by another individual, you must notify the Bank immediately. Failure to notify the Bank promptly could result in loss of funds. You are responsible for maintaining the confidentiality of your password and any breach of confidentiality shall promptly be reported to the Bank. You may contact the Bank at 229.365.2236 to report such security breach. The Bank reserves the right to prevent your access to Service should we have reason to believe the confidentiality of your password has been compromised.

You understand that the Bank has implemented security procedures for the purpose of verifying the authenticity of the payment instructions transmitted to the Bank by you, and not for the purpose of detecting errors in such instructions. Such security procedures include (i) a unique file identification number and transmission password, (ii) challenge questions and required responses and (iii) encryption. You agree that these procedures constitute reasonable methods of providing security against unauthorized instructions. You agree to be bound by any instruction issued by you and received and verified by the Bank in accordance with such security procedures, and you shall indemnify and hold the Bank harmless from and against any loss suffered or liability incurred by, or arising from, the execution of instructions in good faith and in compliance with such security procedures.

This Agreement governs the use of Rochelle State Bank Online Banking service and is made and entered into by and between Rochelle State Bank, also referred to as “we,” “Rochelle Bank,” or the “Bank,” and each person who signs Rochelle Bank’s signature card for the Account being accessed or is referenced on Rochelle Bank’s records as an owner of the Account, or each party whose signature appears on a credit line application, also referred to as “Customer” or “you”.  Each customer on the account is jointly liable for all transactions initiated through Online Banking, including overdrafts, even if the customer did not participate in the transaction, which resulted in the overdraft.

Banking business days are Monday through Friday, excluding Saturday, Sunday and federal holidays.  You may access Account information through Online Banking 24 hours a day, 7 days a week, except for interruptions due to maintenance or matters beyond the Bank’s control.

You may use a Personal Computer (“PC”) through an Internet connection or a mobile device such as a cell phone, or any other wireless device to obtain account balances and transaction information. You may use Online Banking to view the balance in your account, make transfers or loan payments, pay bills, and much more. You may also use your PC or a mobile device such as a cell phone, or any other wireless device to view completed transactions on your accounts and to transfer money between your accounts. Account transfer limitation may apply to certain account types per federal regulations, all as more fully set out in the applicable account disclosures and Account Agreement. In addition, you may use your PC or a mobile device such as a cell phone, or any other wireless device to electronically direct us to make payments from your account to third parties that you have selected to receive payment through Online Banking. You may make payments through Online Banking to merchants or individuals. Please note: There must be sufficient funds in the account to complete transfers.

Online Banking services and each of your accounts are governed by the applicable Disclosures, Rates and Fee Schedules provided by the Bank in your new account packet, as each may be modified from time to time.  Copies of the Disclosures, Rates and Fee Schedules applicable to your account can also be provided upon request at any Rochelle Bank location.  Your initial use of Online Banking services indicates your agreement to be bound by this agreement and acknowledges your receipt and understanding of this document.

The Bank requires that all visitors to its website adhere to the rules and regulations. From time to time, we may revise these terms and conditions.

Not all of the products or services offered on the Bank’s website or through Online Banking are available to all customers. You may not be eligible for all of the products or services described. The Bank reserves the right to determine the eligibility for any product or service subject only to Federal or State law.

Enrollment Online Banking is restricted to Rochelle Bank customers residing in the United States. By enrolling in Online Banking you acknowledge that: (a) you have signatory authority over the accounts listed on the enrollment form, (b) the accounts have been maintained in a satisfactory manner and (c) the accounts have online rights. In addition, the customer’s name, address, date of birth, social security number, account number(s) and other identifying information will be verified against the customer’s identifying information on the Bank’s core system.

To subscribe to Online Banking, you must maintain at least one deposit Account with the Bank.  Online Banking will allow you to access more than one Account, to view Account balance(s) and transaction information, transfer funds among designated Accounts, send electronic mail to the Bank, and receive electronic mail from the Bank.  The Bank reserves the right to deny the Customer the ability to access Online Banking, to limit access or transactions or to revoke a Customer’s access to Online Banking without advance notice to the Customer.

You are responsible for paying any fees associated with Online Banking as outlined within this agreement as well as any fees that may be accessed by your Internet Service Provider and for any telephone charges or fees incurred by accessing Online Banking.

The Bank is entitled to act on instructions received through Online Banking under your password and without inquiring into the identity of the person using that password.  Any transactions that are initiated through Online Banking and which are completed by us in accordance with your password, whether or not authorized by you, shall be treated as your authorized transaction. We reserve the right to implement additional security procedures, such as but not limited to limiting the frequency and dollar amount of transactions from your Accounts for security reasons.  You agree that your continued use of any such changed security procedures evidences your agreement to, and acceptance of, the commercial reasonableness of such changed procedures.

The Bank may monitor and audit usage of the Website and the Online Banking system, and all persons are hereby notified that use of Online Banking constitutes consent to such monitoring and auditing. Attempting to up-load information and/or change information on the Bank’s website is strictly prohibited. The Bank has the right to refuse access to Online Banking or any transaction, if the Bank reasonably believes such refusal is necessary for security reasons. Furthermore, Bank may take additional actions it deems appropriate where it believes a transaction is fraudulent or poses other risks.

You should not under any circumstances disclose your password by telephone or to anyone claiming to represent the Bank; Rochelle Bank employees do not need and should not ask for your password.  You are liable for all transactions made or authorized using your password.  The Bank has no responsibility in establishing the identity of any person using your password.  If, despite the Bank’s advice, you give your password to anyone, you do so at your own risk since anyone to whom you give your password or other means of access will have full access to your account(s) even if you attempt to limit that person’s authority.  You must contact the Bank immediately in the event that your password has been lost, stolen or otherwise compromised so that it will not be honored and can be disabled.

You hereby release the Bank from any liability and agree not to make any claim or bring any action against the Bank for honoring or allowing any actions or transactions where you have authorized the person performing the actions or transactions to use your account(s) and/or you have given your password to such person, or, in the case of a jointly held account, such person is one of the Account owners.  You agree to indemnify the Bank and hold it harmless from and against any and all liability (including but not limited to reasonable attorney fees) arising from such claims or actions.

Except as otherwise provided in this Agreement or by law, we are not responsible for, and the Bank disclaims responsibility for, any loss, injury, or damage, whether direct, indirect, special or inconsequential (whether based in contract, tort, strict liability or otherwise), caused by the website or use of Online Banking or arising in any way out of the installation, operation, or maintenance of your PC or mobile device such as a cell phone, or any other wireless device or equipment (even if we have been advised of the possibility of such damages), including liability associated with any virus or malicious software which may infect a user’s PC or mobile device such as a cell phone, or any other wireless device or computer equipment. It is the customer’s responsibility to have up-to-date virus detection and firewall software installed on their PC or mobile device such as a cell phone, or any other wireless device, prior to using the Bank’s Online Banking Services. The use of the Bank’s site, without such safeguards, increases the risk of a compromise to the user’s computer system and username and password protections. We will use our best efforts to include accurate and up to date information on the website, but we make no warranties or representations as to the accuracy of the information provided by the Bank or third parties. You agree that all access and use of this website and its contents is at your own risk.

You agree to indemnify, defend and hold us, our affiliate companies, directors, officers, employees and agents harmless against any third-party claim, demand, suit, action or other proceeding and any expenses related to the use of Online Banking.
